ARTICLES OF INCORPORATION

OF

BROWARD COUNTY MUSIC TEACHERS ASSOCIATION, INC

 

The undersigned subscribers to these Articles of Incorporation, being natural persons and competent to contract, hereby form a Corporation, not for profit, under the laws of the State of Florida.

 

ARTICLE I - Name

 

The name of the corporation shall be the Broward County Music Teachers Association, Inc.

 

ARTICLE II - Purpose

 

The purpose of this Corporation shall be:

To advance the interest of music and musicians

      To raise the standard of music teaching

      To promote true music culture by the exchange of ideas.

To cultivate fraternal relations among the members of the music teaching        profession

      To pledge its members to live up to the Code of Ethics

To work within the framework of Florida State Music Teachers Association and Music Teachers National Association Constitution and   By-Laws

 

ARTICLE III - Membership

 

The Music Teachers National Association requires membership in the state organization, Florida State Music Teachers Association. Florida State Music Teachers Association membership classifications, requirements, and the manner of admission to membership are established in the Articles of Incorporation of the Florida State Music Teachers Association, Inc. Nothing in these Articles of Incorporation shall nullify or breach the membership requirements of either Music Teachers National Association or Florida State Music Teachers Association. 

   

 

Section 1:  Membership in the Broward County Music Teachers Association, Inc. shall consist of three classifications:

A.  HONORARY MEMBERSHIP- Honorary membership shall be conferred upon a person chosen for outstanding service to Broward County Music Teachers Association, Inc. upon recommendation of the Executive Board.

 

B.  ACTIVE MEMBERSHIP Active membership shall include any person who is, or has been, a professional teacher of piano, organ, voice, any orchestral instrument, classical guitar, concert accordion, music education, harmony, music theory, music history, music appreciation, or related subjects. An Active Member shall have a Baccalaureate degree from an accredited institution with major emphasis in music, or the equivalent thereof.  Such membership shall provide for privileges of participation in the activities of the Broward County Music Teachers Association, Inc., the right to vote, to hold elected or appointed office, and to apply for certification.

 

      C. PROVISIONAL MEMBERSHIP Provisional membership shall be open to those persons who are actively engaged in teaching music but are unable to meet all requirements for Active Membership.  They shall be given a three (3) year period in which to advance professionally to eligibility for Active Membership.  Provisional members failing to meet all qualification requirements for Active Membership within the three (3) year period shall forfeit their Provisional Membership in the Broward County Music Teachers Association, Inc.  A one (1) year extension of Provisional membership may be applied for to Florida State Music Teachers Association.

     Application may be made for Active Membership again when and if the applicant becomes eligible for it.  Provisional Membership shall provide all Active Membership privileges with the exception of the right to hold elected state and local office and apply for Florida State Music Teachers Association, certification. Provisional members may actively participate as committee members of offices or events.

     Membership by examination shall be open to any music teacher actively engaged in teaching music who is unable to meet the requirements for membership as Active Members by passing a Board Approved examination to be administered at the local level and by presenting four students at three (3) or more levels of achievement to be passed at District Student Day Auditions.

 

Section 2: A.

 (1)  No music teacher shall be an Active Member of the Broward County Music Teachers Association, Inc. without first becoming a member of the Florida State Music Teachers Association and Music Teachers National Association.

(2) Music teachers who were members in good standing in the Broward County Music Teachers Association, Inc. before January, 1974, are exempt from this membership qualification unless their membership is terminated for any reason.

 

B. All membership applications shall be endorsed by two (2) members in good standing, subject to the approval of the Executive Board.

 

ARTICLE IV - Dues

 

Section 1:

 

 

Members whose dues are delinquent shall forfeit the privilege of having their students participate in any BCMTA of FSMTA activities until dues and late fees have been paid in full

 

ARTICLE V - OFFICERS and COMMITTEES

 

Section 1:  Officers of the Broward County Music Teachers Association, Inc. shall be President, First Vice President, Second Vice President, Third Vice President, Recording Secretary, Corresponding Secretary, Treasurer, and three Directors. One Director shall be the immediate Past President and the other two (2) Directors shall have Executive Board experience.

 

Section 2:  The duties of elected officers shall be set forth in the by-laws of the Broward County Music Teachers Association, Inc.

Section 3:  The elected officers and Directors shall make up the membership of the Executive Board. The Executive Board shall hold powers of approval or disapproval of all business coming before the Broward County Music Teachers Association, Inc.

 

Section 4: During the first quarter of every odd numbered year, the Executive Board shall appoint a Nominating Committee of three (3) members to nominate officers to serve for a two (2) year term. The Nominating Committee shall report their nominees at the April meeting of the same year, after which further nominations shall be permitted from the floor. Elections for new officers shall be held at the May meeting.

 

Section 5:  Newly elected officers shall be installed at the June meeting of the same year and shall assume their respective duties immediately thereafter.  All activities of the Broward County Music Teachers Association, Inc. shall have been concluded before the installation of new officers.

 

Section 6:  No member shall be eligible for or elected to the same office for more than two (2) consecutive terms, with the exception of the Treasurer.

 

ARTICLE VI: TERM OF EXISTANCE

 

This corporation is to exist in perpetuity.

 

ARTICLE VII: NON-PROFIT STATUS

 

This corporation is not formed for pecuniary profit or for financial gain.  No incorporator or member of the corporation shall have any vested rights or prevail in, of or to the assets, functions, affairs, or franchises of this Corporation or any right, interest or privilege which may be transferable or inheritable or which shall continue of membership ceases. No part of the earnings or assets of this Corporation shall inure to the benefit nor be distributable to its incorporators, members, directors, officers, or other private persons except that the Corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article II hereof.

 

ARTICLE VIII: LIMITATION ON POLICITAL ACTIVITIES

 

No substantial part of the activities of this Corporation shall be the carrying on of propaganda or otherwise attempting to influence legislation. This Corporation shall not participate in or interfere in any political campaign on behalf of any candidate for public office.

 

ARTICLE IX:  DISTRIBUTION OF ASSETS UPON DISSOLUTION

 

Upon dissolution of this Corporation, all of its assets remaining after payment or making provision for the payment of all liabilities of the Corporation shall be distributed exclusively for the purposes of this Corporation in such manner and to such organization or organizations which shall have qualified as a not for profit organization.

 

ARTICLE X – MEETINGS

 

Section 1:  Broward County Music Teachers Association, Inc. shall have no fewer than eight (8) monthly activities each calendar year. At least three (3) of these activities shall include a general business meeting open to the membership.

 

Section 2:  Meetings of the Executive Board of the Broward County Music Teachers Association, Inc. shall be called by the President, provided that there shall be no less than one Executive Board meeting during each quarter of the year.

 

Section 3: Guest privileges for an individual at regular Broward County Music Teachers Association, Inc. meetings shall be unlimited for one full year to afford time for Florida State Music Teachers Association affiliation.

 

Section 4: Ten (10) members of the Broward County Music Teachers Association, Inc. shall constitute a quorum for that body. Five (5) elected officers of Directors shall constitute a quorum for the Executive Board.

 

ARTICLE XI: AMENDMENTS

 

Section 1:  An Article of the Constitution or By-Laws may be amended by a two-thirds (2/3) vote of active and provisional members present, providing the proposed amendment has been approved by the Executive Board and has been submitted to the full membership either at a previous meeting or by mail

 

Section 2: The President may appoint a Parliamentarian to advise on matters of procedure at Executive Board and/or General Business meetings.

 

Section 3: Robert’s Rules of Order (Revised) shall be considered final authority for any and all parliamentary procedures.

 

ARTICLE XII: SUBSCRIBERS AND REGISTERED AGENT

The Registered Agent for this Corporation shall be the current President, and having been named as Registered Agent, will accept service or process for the above named corporation at the place designate and hereby accepts appointment as Registered Agent.

 

ARTICLE XIII:

BROWARD COUNTY MUSIC TEACHERS ASSOCIATION, INC. CONSTITUTION AND BY-LAWS

 

Section 1: The constitution and By-Laws of the Broward County Music Teachers Association, Inc. shall be those previously published and amended from time to time. Copies of this Constitution and By-Laws may be found in the Broward County Music Teachers Association, Inc. booklet or “yearbook” published and amended from time to time.
